Share Capital

Prior to Admission, the Company’s share capital consists of one class of shares being the Ordinary Shares, all of which have equal voting rights and are freely transferrable in both certificated and uncertificated form. No Shareholder has any different voting rights from any other Shareholder. The same rights will apply to the Company’s Enlarged Share Capital following Admission.

 

Share Options and Warrants

The Directors have no plan to issue share options or warrants at this time, although they will continue to consider the matter in due course as the Group pursues its growth strategy.

 

CREST

The Company’s Articles of Association are consistent with the transfer of Ordinary Shares in dematerialised form in CREST under the CREST Regulations. Application has been made for the Ordinary Shares to be admitted to CREST on Admission. Accordingly, settlement of transactions in the Ordinary Shares following Admission may take place within the CREST system if relevant Shareholders so wish. CREST is a voluntary system and Shareholders who wish to receive and retain certificates in respect of their Ordinary Shares will be able to do so.

The accounting reference date of the Company 31 December.

Recognized trademark

 

The Group currently offers its seafood trading services in Southeast Asia and focuses in particular on Hong Kong, Thailand and China. The Group utilises specialist equipment and employs an experienced team of seafood handlers. Its storage facilities, which are located in Thailand, are equipped with large commercial refrigerators and are designed to keep products in a deep freeze to ensure quality is maintained for long periods. The Group’s equipment allows it to handle both in-season and non-season seafood products, which helps the Group maintain a variety of stock throughout the year. The Group is required by Hong Kong law to own a full set of food licences. The Group’s food licences are registered under the Hong Kong Fisheries and Agricultural Department for food trading in both Hong Kong and overseas. Separately, the Group as required by law, owns the registered trademark SUPERSEARCH PLUS (超搜加)in the jurisdictions of the People’s Republic of China and Hong Kong.
